These Terms & Conditions (“Terms”) apply to services supplied by Creationz (“Creationz”, “we”, “us” or “our”) to the person, business or organisation purchasing or receiving those services (“Client”, “you” or “your”).
These Terms should be read alongside any quotation, proposal, order, invoice, statement of work or other written agreement relating to the services being supplied. Where a specific written proposal or agreement expressly varies these Terms, the terms of that proposal or agreement will take precedence in relation to the relevant service.
By instructing Creationz to commence work, accepting a quotation or proposal, making a payment, renewing a service or continuing to use our services, you agree to these Terms.
1. Definitions
For the purposes of these Terms:
Client Content means text, photographs, video, graphics, logos, data, documents and other materials supplied by the Client.
Deliverables means the completed work or services Creationz has agreed to provide.
Project means the work described in the relevant quotation, proposal or other written agreement.
Services means any services supplied by Creationz, including website design and development, hosting, email, website maintenance, SEO, digital marketing, graphic design, photography, videography, editing, print-related services and associated creative or technical services.
Third-Party Services include software, plugins, themes, hosting infrastructure, domain registrars, payment providers, advertising platforms, stock libraries, email providers and other products or services supplied by organisations other than Creationz.
PART A — GENERAL BUSINESS TERMS
2. Quotations, Proposals & Acceptance
Unless otherwise stated, quotations and proposals are valid for 30 days from the date of issue.
Prices are based upon the information and requirements available to Creationz at the time the quotation is prepared. If the scope or requirements subsequently change, additional charges may apply.
A Project will normally be considered accepted when the Client confirms acceptance in writing, makes the requested deposit or initial payment, or instructs Creationz to commence work.
Creationz reserves the right to decline work or services where there is a reasonable commercial, legal, technical or security reason for doing so.
3. Fees, Deposits & Payment
Unless otherwise agreed in writing, 50% of the quoted Project fee is payable before work commences, with the remaining balance becoming payable upon completion.
Different payment arrangements may be specified within an individual quotation, proposal or invoice and, where specified, those arrangements will apply.
For website projects, “completion” primarily means completion of the agreed structural build, functionality and design work. A Project will not remain indefinitely incomplete simply because Client-supplied content, information, feedback or other materials remain outstanding.
Invoices must be paid by the due date stated on the invoice.
Where Creationz incurs agreed third-party costs on behalf of the Client — including stock media, software, licences, travel, equipment hire, printing, advertising or specialist services — these costs may be invoiced separately or added to the Project invoice.
Creationz may require third-party costs to be paid in advance.
4. Late Payment
Where an invoice becomes overdue, Creationz reserves the right to charge interest, late-payment charges and reasonable debt-recovery costs to the extent permitted by applicable UK law.
Payments received may be applied first towards outstanding interest, late-payment charges, reactivation fees and reasonable recovery costs before being applied to the principal outstanding balance.
Creationz may withhold completed work, files, credentials, licences, transfers or other Deliverables while the Client’s account remains overdue.
Any transfer or assignment of intellectual property rights created by Creationz is conditional upon receipt of all sums due in relation to the relevant Project.
5. Suspension & Reactivation
If an invoice becomes overdue, Creationz reserves the right to suspend some or all services associated with the Client’s account until the account has been brought fully up to date.
Where reasonably practicable, Creationz will provide notice and an opportunity to settle the outstanding balance before suspension.
Suspended services may include:
- website hosting;
- email services;
- website management and maintenance;
- domain-related services;
- software licences;
- technical support; and
- other ongoing services supplied or managed by Creationz.
Creationz will not be responsible for website downtime, loss of email access, interruption of service, loss of business or other losses resulting directly from a reasonable suspension of services for non-payment.
Where services have been suspended for non-payment, a £55 reactivation fee will become payable.
The outstanding balance, applicable late-payment charges and reactivation fee must normally be paid in full before services are restored.
Restoration may not be immediate following payment and will be undertaken as soon as reasonably practicable.
Suspension or termination does not remove the Client’s responsibility to pay amounts already due.
6. Clients With a History of Late Payment
Creationz reserves the right to apply stricter payment terms to accounts with a repeated history of late or missed payments.
An account may be considered to have a history of late payment where, for example:
- invoices have repeatedly remained unpaid after their due dates;
- multiple reminders or telephone calls have regularly been required;
- agreed payment dates have repeatedly not been met; or
- previous payment arrangements have not been honoured.
In these circumstances Creationz may:
- require future services to be paid for in advance;
- shorten or remove discretionary payment or grace periods;
- decline further work until outstanding balances have been cleared;
- withdraw informal extensions or payment arrangements; and
- give 7 days’ written notice of suspension once an invoice has become overdue.
Creationz is not required to issue multiple previous overdue reminders before issuing a seven-day suspension notice.
Where the Client contacts Creationz and an alternative payment arrangement is expressly agreed, Creationz may allow services to continue. Such arrangements are discretionary and do not automatically change the Client’s future payment terms.
7. Project Scope & Additional Work
The Project price covers the work described within the relevant quotation or proposal.
Requests falling outside that agreed scope may be charged additionally at Creationz’s current hourly or daily rate or may be separately quoted.
Examples can include additional pages, functionality, revisions, content, integrations, design changes or technical work that were not reasonably included within the original brief.
Where requested changes substantially alter the nature, scope or complexity of a Project, Creationz may provide a revised quotation before proceeding.
Additional work will not necessarily be covered by an original fixed Project price.
8. Client Responsibilities
The Client agrees to provide information, content, access, feedback, approvals and other materials reasonably required to complete the Project.
The Client is responsible for ensuring that information supplied to Creationz is accurate and that it has the necessary rights and permissions to use any text, photographs, logos, video, trademarks or other materials it supplies.
Unless proofreading or factual verification has specifically been commissioned, the Client is responsible for final checking and approval of content before publication or production.
Where the Client approves work containing errors or omissions, subsequent correction may be chargeable.
The Client is also responsible for decisions or approvals required from its employees, partners, suppliers or other third parties.
9. Project Delays & Inactive Projects
Creationz’s ability to meet Project timescales depends upon the Client providing required information, materials, feedback and approvals within a reasonable time.
Creationz will not be responsible for delays resulting from Client delays or changes to the agreed scope.
Where a Project is delayed by the Client for more than 30 days, Creationz may invoice for work completed up to that point.
Where approximately 80% or more of the agreed Project has been completed and completion is delayed by the Client for more than 30 days, Creationz reserves the right to invoice the remaining Project balance.
Where a Project remains inactive for an extended period, Creationz may reschedule the remaining work according to current availability. Original completion dates cannot necessarily be preserved.
If substantial additional work becomes necessary because of a prolonged delay — including updating previously completed work, software or technical configurations — that work may be chargeable.
PART B — WEBSITE & DIGITAL SERVICES
10. Website Design & Development
Creationz will develop websites according to the functionality, content and general design agreed with the Client.
Websites are developed for contemporary browsers, devices and technologies considered reasonably appropriate at the time of development. Creationz cannot guarantee indefinite compatibility with future browsers, operating systems, devices, software or third-party platforms.
Unless specifically included within the Project, ongoing maintenance, content changes, software updates and technical support after completion are separate services.
The Client will be given reasonable opportunity to review and approve the website before final completion or launch.
Once approved, subsequent changes may be chargeable.
11. Website Hosting & Email
Where Creationz supplies or manages hosting or email services, those services may rely upon third-party infrastructure and providers.
Although Creationz will use reasonable care in selecting and managing such services, continuous or uninterrupted availability cannot be guaranteed.
Scheduled maintenance, emergency maintenance, network failures, cyber incidents, third-party failures and other circumstances beyond Creationz’s reasonable control may occasionally cause interruption.
Hosting services normally renew for the billing period stated on the relevant invoice or service agreement.
The Client is responsible for maintaining current contact details so that important hosting, domain, security and renewal communications can be received.
12. Hosting Acceptable Use
Creationz hosting services may only be used for lawful purposes.
Clients must not knowingly use hosting supplied or managed by Creationz for activities including:
- unlawful or fraudulent content or services;
- phishing or impersonation;
- distribution of malware, viruses or malicious software;
- unsolicited bulk email or spam;
- copyright piracy or distribution of unlawfully obtained material;
- illegal pornography or sexual content involving minors;
- material that unlawfully incites hatred, violence or discrimination;
- attacks upon networks, websites or computer systems;
- unauthorised cryptocurrency mining;
- peer-to-peer file distribution where prohibited by the hosting environment;
- operating services primarily intended as bulk file-storage or download repositories where not included within the hosting package; or
- activities that materially interfere with other users of shared infrastructure.
Creationz may suspend or terminate hosting without normal notice where reasonably necessary to protect systems, other customers, third parties or the public, or where required by a hosting provider or lawful authority.
Where possible and appropriate, Creationz will contact the Client before taking action.
13. Resource Usage
Hosting packages are intended for normal website and associated email usage appropriate to the service purchased.
Where a website consumes excessive processing power, storage, bandwidth, memory or other resources to an extent that materially affects server stability or other customers, Creationz may temporarily restrict the affected service.
Where practicable, Creationz will discuss possible remedies with the Client, which may include optimisation, removal of problematic software or upgrading the hosting package.
Additional resource usage may be chargeable where provided for within the relevant hosting plan.
14. Backups
Creationz and/or its hosting providers may maintain server backups for disaster recovery and operational purposes.
Unless a specific managed backup service has been purchased or expressly included, these backups should not be treated as the Client’s sole backup system.
Clients are encouraged to retain independent copies of important website content, files and data.
Creationz will take reasonable care when carrying out website work but cannot guarantee that every historical version or deleted item can be recovered.
Backup restoration or recovery work resulting from circumstances outside Creationz’s responsibility may be chargeable.
Before leaving Creationz hosting, Clients should request or download any website and email data they wish to retain before the service is terminated.
15. Security, Malware & Compromised Websites
The Client must take reasonable steps to protect passwords and account credentials.
Where Creationz reasonably believes a website or account has been compromised, contains malware or poses a security risk, Creationz may temporarily suspend or isolate it to protect the Client, server and other users.
Creationz will inform the Client as soon as reasonably practicable.
Investigation, malware removal, recovery, repair or restoration may be chargeable unless the problem arose directly from work for which Creationz remains responsible.
Clients must not knowingly share administrator credentials in an insecure manner or permit unauthorised persons to access hosting systems.
16. Website Transfers & Migrations
Creationz may assist with transferring websites, email or data between providers.
Migration depends upon the accessibility, configuration and compatibility of the originating and destination systems.
Creationz will exercise reasonable care but cannot guarantee that third-party systems will transfer perfectly or that there will be no temporary interruption, configuration issue or incompatibility.
The Client should maintain an appropriate backup before migration wherever reasonably possible.
Unexpected migration work arising from problems with a third-party provider, corrupted data, unusual configurations or incompatible systems may be chargeable.
17. Domains, SSL & Third-Party Services
Creationz may register, renew or manage domain names, SSL certificates and other services on the Client’s behalf.
Domain registration is subject to availability and the terms of the relevant registry and registrar.
Creationz cannot guarantee that a requested domain will remain available until registration has been successfully completed.
Domain registrations and renewals are generally non-refundable once processed because Creationz incurs the corresponding third-party cost.
Where Creationz manages a domain for a Client, Creationz will reasonably assist with transfer to another provider once the Client’s account has been settled.
The Client remains responsible for ensuring that domain names and trademarks it chooses do not unlawfully infringe third-party rights.
18. Software, Themes, Plugins & Licences
Websites may use third-party software, themes, plugins, fonts, APIs or other licensed products.
These products remain subject to their respective owners’ terms and licences.
Some functionality may depend upon ongoing subscriptions or licence fees.
Unless expressly stated otherwise, Creationz does not guarantee that third-party software will remain available, supported, compatible or unchanged indefinitely.
Where a third-party provider discontinues or materially changes a product, additional work required to replace or adapt that functionality may be chargeable.
19. Website Maintenance & Technical Support
Hosting does not automatically include unlimited website maintenance or technical support.
Maintenance, updates, troubleshooting and other support will be supplied according to the package purchased or otherwise charged at Creationz’s current applicable rate.
Any inclusive support allowance applies only according to the terms of the relevant package and does not accumulate or roll over unless expressly stated.
Creationz may distinguish between problems relating to the hosting infrastructure and problems caused by website software, third-party plugins, Client modifications or other external systems.
Work required because of changes or actions undertaken by the Client or another provider may be chargeable.
20. SEO, PPC & Digital Marketing
Creationz may provide search engine optimisation, paid advertising and other digital marketing services.
Search engines, advertising platforms and social networks are independent third parties whose algorithms, policies, prices and systems may change without notice.
Creationz therefore cannot guarantee:
- a particular search ranking;
- a particular number of enquiries, leads or sales;
- a particular cost per click or conversion;
- uninterrupted advertising;
- acceptance of advertisements by third-party platforms; or
- specific commercial results.
Where advertising spend is paid directly to platforms such as Google or Meta, this expenditure is separate from Creationz’s management fees unless expressly stated otherwise.
Creationz will exercise reasonable professional care in configuring and managing campaigns but is not responsible for independent changes made by the advertising platform or by the Client.
PART C — CREATIVE SERVICES
21. Photography & Videography
Where photography or videography services are commissioned, the quotation will specify the agreed scope, which may include filming or photography time, travel, equipment, editing, music, stock material and Deliverables.
Unless expressly included, raw footage, unedited photographs, project files and editing timelines are not automatically included within the Final Deliverables.
Creationz will take reasonable precautions to protect recorded material but cannot guarantee against equipment failure, media corruption or other circumstances beyond reasonable control.
Where an event, shoot or production is delayed, cancelled or rescheduled by the Client, reasonable costs already incurred and time reserved may remain payable.
22. Print & Third-Party Production
Where Creationz arranges printing, fabrication or other production through a third party, reasonable industry tolerances may apply to colour, dimensions, quantities, materials and finishing.
The Client is responsible for approving final artwork before production.
Once approved artwork has entered production, changes may not be possible and reprinting caused by Client-approved errors will be at the Client’s expense.
Creationz is not responsible for delays or defects caused solely by independent suppliers, but will provide reasonable assistance in seeking an appropriate resolution.
PART D — INTELLECTUAL PROPERTY
23. Client Content
The Client retains ownership of material supplied to Creationz.
The Client grants Creationz permission to reproduce, edit, adapt and otherwise use that material as reasonably necessary to provide the Services.
The Client confirms that it owns the supplied material or has appropriate permission to use it.
24. Creationz Intellectual Property
Unless otherwise agreed in writing, Creationz retains ownership of:
- preliminary concepts and unused designs;
- working files and production files;
- reusable code, techniques, processes and tools;
- templates and development systems;
- know-how developed independently of the Client’s Project; and
- other pre-existing Creationz intellectual property.
The Client receives the rights reasonably required to use the Final Deliverables for their intended purpose following payment in full.
25. Final Deliverables & Ownership
Unless different intellectual-property terms are specified in the relevant proposal, once all amounts relating to a Project have been paid in full, the Client will receive the agreed rights to use the Final Deliverables for the purposes for which they were created.
Where Creationz creates bespoke artwork, graphics, written content or other original material specifically for the Client and the proposal states that ownership will transfer, such transfer occurs only after payment in full.
Third-party materials cannot be transferred beyond the rights permitted by their respective licences.
Nothing in these Terms transfers ownership of Creationz’s underlying tools, processes, reusable code or pre-existing intellectual property.
26. Third-Party Materials
Stock photography, stock video, music, fonts, software, plugins and other third-party materials remain subject to their respective licences.
Where a licence must be obtained specifically for the Client, the cost may be passed to the Client.
The Client agrees to observe any restrictions associated with such materials.
27. Portfolio & Promotional Use
Unless the Client has requested confidentiality in writing, Creationz may display completed public-facing work in its portfolio, website, social media, presentations and other reasonable promotional material.
Creationz may identify the Client and briefly describe the nature of the work undertaken.
Confidential information will not knowingly be disclosed for promotional purposes.
Where appropriate, Creationz may include a discreet design or development credit and/or link on websites it creates. A Client may request its removal.
PART E — CANCELLATION, LIABILITY & LEGAL TERMS
28. Cancellation of Projects
Either party may terminate a Project by giving reasonable written notice.
If the Client cancels after work has commenced, Creationz will be entitled to payment for work undertaken and reasonable committed costs incurred up to the date of cancellation.
Deposits may be applied towards work already completed and costs already committed.
Where reserved production, photography, videography or other time cannot reasonably be reallocated following late cancellation, reasonable cancellation charges may apply where communicated to the Client.
29. Cancellation of Recurring Services
Unless different cancellation terms apply to a particular service, requests to cancel recurring services should be received at least 7 days before the next renewal or payment due date.
Cancellation does not affect invoices or charges that became due before cancellation took effect.
Clients should ensure that any data, files or email they wish to retain are transferred or downloaded before hosting or related services terminate.
30. Refunds
Refund eligibility depends upon the nature of the service purchased.
Work already performed and reasonable third-party costs already incurred are normally non-refundable.
Domain registrations, licence purchases, stock assets, advertising expenditure and other third-party costs that cannot reasonably be recovered by Creationz are non-refundable once purchased or committed.
Where a statutory right to cancel or obtain a refund applies, nothing in these Terms removes or restricts that right.
Any specific refund or cancellation arrangement stated in a quotation or service agreement will apply to that service.
31. Confidentiality
Each party agrees to take reasonable steps to protect confidential business or technical information received from the other in connection with a Project.
Confidential information may be used where reasonably necessary to perform the Services and may be shared with contractors or service providers where necessary and subject to appropriate obligations.
This provision does not apply to information already lawfully in the public domain or information that must be disclosed by law.
32. Data Protection & Privacy
Creationz will process personal information in accordance with applicable UK data-protection legislation and its published Privacy Policy.
Where Creationz processes personal information on behalf of a Client as part of providing a service, each party remains responsible for complying with its respective legal obligations.
The Client is responsible for ensuring that content, mailing lists, customer information and other personal data supplied to Creationz have been obtained and may be used lawfully.
33. Third-Party Services
Creationz frequently works with independent platforms and providers including hosting companies, registrars, software developers, payment processors, advertising networks, search engines and cloud services.
Creationz is not responsible for the acts, omissions, outages, policy changes, price changes or discontinuation of services by independent third parties where these matters are outside Creationz’s reasonable control.
Where a third-party service experiences a problem, Creationz will provide reasonable assistance where that service falls within the scope of our management responsibilities.
Additional work may be chargeable where the underlying issue is outside Creationz’s responsibility.
34. Warranties
Creationz will provide its Services with reasonable care and skill.
Where a Deliverable materially fails to meet the agreed specification because of an error by Creationz, Creationz should be given a reasonable opportunity to investigate and correct the issue.
Creationz does not warrant that websites, software, hosting or other digital services will operate completely without interruption or error indefinitely.
Problems arising from Client changes, third-party changes, unsupported software, cyberattack, malware, external services or circumstances outside Creationz’s reasonable control are not considered defects in Creationz’s original work.
35. Limitation of Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to applicable law, Creationz will not be liable for indirect or consequential losses arising from the Services, including loss of anticipated profits, revenue, business opportunities or goodwill, where such losses were not reasonably foreseeable.
Creationz will not be responsible for losses caused solely by circumstances outside its reasonable control, including third-party outages, cyberattacks, platform failures, Client actions or failure by the Client to maintain appropriate backups.
Where Creationz is liable for direct loss arising from a particular service or Project, Creationz’s aggregate liability will, to the extent permitted by law, normally be limited to the total fees paid or payable to Creationz for the particular service or Project giving rise to the claim during the preceding 12 months.
Nothing in this section affects any statutory rights that cannot lawfully be excluded or restricted.
36. Client Indemnity
The Client will be responsible for claims, losses or reasonable costs arising from material supplied or instructions given by the Client where that material or instruction infringes another person’s intellectual-property rights, privacy rights or other legal rights, or is otherwise unlawful.
This does not apply to the extent that the relevant claim resulted from Creationz’s own unauthorised modification or use of the material.
37. Force Majeure
Neither party will be considered in breach of these Terms for delay or failure caused by circumstances genuinely beyond its reasonable control.
Such circumstances may include serious illness or incapacity, fire, flood, severe weather, natural disaster, war, civil disturbance, industrial action, widespread network or power failure, cyberattack, governmental action or failure of essential third-party infrastructure.
Where such an event materially affects a Project, Creationz will make reasonable efforts to inform the Client and revise the schedule accordingly.
38. Independent Contractor
Creationz provides Services as an independent business.
Nothing within these Terms creates an employment relationship, partnership, joint venture or agency between Creationz and the Client.
Creationz may use appropriately skilled subcontractors or specialist suppliers where reasonably required to provide the Services.
39. Changes to These Terms
Creationz may update these Terms periodically to reflect changes to its services, business practices, technology or legal requirements.
The version published on the Creationz website will apply to new Projects and services from its stated effective date.
Where a material change significantly affects an existing recurring service, Creationz will provide reasonable notice where appropriate.
Changes will not retrospectively alter an individually agreed fixed Project price or other expressly agreed contractual commitment.
40. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
Failure by Creationz to enforce a particular provision on one occasion does not constitute a permanent waiver of that provision.
41. Entire Agreement
These Terms, together with the applicable quotation, proposal, invoice, order or other written agreement, form the agreement between Creationz and the Client concerning the relevant Services.
Where there is a conflict, a specific written term expressly agreed for the relevant Project or service will take precedence over these general Terms.
42. Governing Law & Jurisdiction
These Terms and any dispute or claim arising from them shall be governed by the laws of England and Wales.
Subject to any rights that cannot lawfully be restricted, the courts of England and Wales shall have jurisdiction in relation to disputes arising from these Terms.
Before commencing formal proceedings, both parties are encouraged to make reasonable efforts to resolve any dispute through direct communication.

44. Acceptance
By accepting a quotation or proposal, instructing Creationz to commence work, purchasing or renewing a service, or continuing to use services supplied by Creationz, the Client acknowledges that they have had the opportunity to read and understand these Terms & Conditions.
These Terms should be retained together with the relevant quotation, proposal or invoice for future reference.
